What do you need to know before you start negotiating a #SaaS #contract?

How critical is this SaaS application to the project and the company at large? Critical applications need certain checks and balances in the contract to help ensure that there are minimal interruptions and the customer is not suddenly left out in the cold.

What is the best mechanism for renewal to ensure continuity without interruption? This will also raise questions around price protection and notification.

How are suspension rights handled in the contract? What is the best approach for both supplier and customer to ensure continuity in such events?

What are the supplier’s policies and procedures around business continuity and disaster recovery? Do they align with the customer’s policies and will they ensure adequate continuity?

How does the contract terminate? Are there transition processes when it comes time to terminate? Will the supplier help the customer transition to another system to ensure a smooth change of hands?

These are just some of the aspects that you need to consider. The customer cares about them because they need to ensure the success of their program. The supplier should care about them because these eventually become selling points for their application.
